Representation Contract
This Agreement (“Agreement”) is made on this ___ day of ______ 2007 (the “Effective date”), by and between:
__________________, «The Artist » located at __________________________ in Israel
&
Ms. Representation Company, «The Agent» located at, Tel Aviv in Israel
Preamble:
WHEREAS the “Agent” specializes in the representation of Artists and the promotion of their art work; as well as the active assistance of Artists work through “Agent’s” worldwide network of contact in galleries and its knowledge of the international art market, and of its main traders, distributors, companies and key character persons.
WHEREAS the “Artist” has asked the “Agent” to render him, and under the terms and conditions of this Agreement, representation services and assistance for the promotion and the sales of the Artist’s works. Below a description of the task and responsibilities required by the “Artist” from the “Agent”:
- To assist in setting up permanent exposition in European and US Art galleries
- To be the exclusive intermediary between the «Artist» and the art galleries for all the events, transaction, agreement between Art galleries and the “Artist”
- Management of the supply, stock, and sales of the artist work for and from the gallery
- To provide consultancy and assistance of the set up of communication, PR, and advertising plan over the Press and the Internet to promote « Artist » image and work
- To provide all other representation duties for the « Artist » in order to continuously promote its artistic work
NOW THEREFORE, THE PARTIES AGREE AS FOLLOWS:
- The «Agent » must supply, under the terms and the conditions of this agreement, representation services and assistance for the promotion and the sales of the Artist’s works by introducing the « Artist » to « Potential Partners » such as Art galleries, Art traders, distributors, Art dedicated entities and persons listed in ANNEX A of this agreement. The list in ANNEX A can be modified after agreement of both parties by signing and under the same terms and conditions of the present agreement.
- This Agreement shall enter into force on the Effective Date and shall remain in force for twenty four (24) months thereafter. This Agreement can be renewed for an additional period should both parties will agree to do so, in advance and in writing Cet accord entrera en vigueur dès la date de prise d’effet et demeurera en vigueur pendant douze (12) mois.
- If a Commercial Agreement of any kind is conclude between the “Artist”, and anyone of the “Potential Partners” listed in ANNEX A, the “Artist” will pay the “Agent” a commission on all gross revenues of the “Artist” under the Commercial Agreement between “Potential Partners” and the “Artist” or any of its subsidiaries or affiliates, starting from the present Agreement signature date and for a period of twenty four (36) months. The terms and type of calculation of the commission to the “Agent” is described in ANNEX B of the present agreement.
- Commissions under Section 3 above, will be paid to “Agent” within 10 working days of actual receipt by the “Artist” of each payment performed by the “Potential Partner”.
- “Artist” is committed to keep the “Agent” updated of all the sales activities that are done with “Potential Partners” and keep the “Agent” posted of leads, Puchase Orders etc that were made under the Commercial Agreement deal with ”Potential Partners”, which are relevant for the “Agent” to ensure the accuracy of commission fees to be paid to it under Section 3 above.
- Except where the “Agent” is in breach of this contract, it is expressly agreed that even in case of expiration or termination of this Agreement, the “Agent” entitlement for commission under and in accordance with Section 3 above shall survive expiration or termination of this Agreement.
- Confidentiality: the “Agent” accepts to maintain confidential all information related to the «Artist» , and in any case will reveal any information regarding the “Artist” and its work before previous acceptance of the «Artist».
- This Agreement and its ANNEX A & ANNEX B constitutes the entire Agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, understanding or representations regarding such matter. This Agreement may be modified or amended only in writing, signed by duly authorized representatives of both Parties. This Agreement shall be governed and construed by the laws of Israel, and each party hereby irrevocably submits to the exclusive jurisdiction of the Courts of Tel Aviv, Israel.

ANNEX A
“Potential Partners” List

In regards of the terms signs in the Agreement between the “Artist” and the “Agent” below a list of “Potential Partners”. This List can be modified after acceptance in writing of both parties:

- Art fair in USA- Europe- Israel- Asia
- Private customers in USA – Europe- Israel- Asia
- Art events in USA – Europe- Israel- Asia
